Terms and Conditions
Please read these terms carefully before using MyroPay. By accessing our services you agree to be bound by them.
1. Acceptance of Terms
By creating an account, accessing, or using any MyroPay service (the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, and any additional policies referenced herein. If you do not agree, do not use our services.
These Terms constitute a legally binding agreement between you and MyroPay Technologies Ltd ("MyroPay," "we," "us," or "our"), a company incorporated in Nigeria (RC Number: [Registration Number]), 14 Broad Street, Marina, Lagos, Nigeria.
2. Our Services
MyroPay provides digital financial services including but not limited to: multi-currency wallets, domestic and international money transfers, payment links, virtual cards, invoicing, payroll processing, foreign exchange, savings accounts, and a developer API for payment integration.
Our services are provided on a best-efforts basis. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice, except where immediate action is required for security or legal compliance.
3. Eligibility
- You must be at least 18 years of age (or the age of majority in your jurisdiction)
- You must have the legal capacity to enter into binding contracts
- You must not be located in a country subject to international sanctions (including OFAC, UN, EU, and UK sanctions lists)
- You must not be a politically exposed person (PEP) without completing enhanced due diligence
- Business accounts require a legitimately registered legal entity
- You may only maintain one personal account; duplicate accounts may be suspended
4. Account Registration & Security
You agree to provide accurate, current, and complete information when registering. You are responsible for maintaining the confidentiality of your login credentials, PIN, and two-factor authentication codes. You agree to notify us immediately at security@myropay.com if you suspect unauthorised access to your account.
MyroPay will never ask for your password, PIN, or OTP via email, phone, or any channel other than the official app. You are responsible for transactions authorised with your credentials unless you report a compromised account promptly.
5. Fees and Payments
Applicable fees are displayed on our Pricing page and in-app before each transaction. By confirming a transaction, you authorise the stated fee. Fees may change with 30 days' notice. You will be notified of material fee changes by email.
Subscription fees (where applicable) are charged in advance monthly or annually. Refunds are provided only in cases of service failure attributable to MyroPay, at our discretion.
6. Prohibited Uses
You must not use MyroPay for:
- Illegal activities, including fraud, money laundering, terrorist financing, or sanctions evasion
- Purchasing illegal goods or services, including narcotics, unlicensed firearms, or child exploitation material
- Gambling (where prohibited by applicable law in your jurisdiction)
- Pyramid schemes, Ponzi schemes, or investment fraud
- Phishing, spoofing, or impersonating MyroPay or another user
- Reverse engineering, scraping, or attempting to access non-public parts of the Service
- Processing payments on behalf of third parties (payment facilitation) without prior written approval
- Any use that violates applicable local, national, or international laws
Violation of these prohibitions will result in immediate account suspension and may be reported to law enforcement.
7. KYC / AML Requirements
In compliance with applicable anti-money laundering (AML) and counter-terrorist financing (CTF) regulations, you agree to provide identity verification documents upon request. Failure to complete verification may result in transaction limits, account restrictions, or closure. We are required by law to report suspicious transactions to relevant financial intelligence units.
8. Intellectual Property
All content, features, and functionality of MyroPay — including but not limited to the brand name, logos, UI design, software, text, and graphics — are the exclusive property of MyroPay Technologies Ltd and protected by Nigerian, UK, and international intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written consent.
By submitting content to MyroPay (e.g. business logos, product descriptions), you grant us a non-exclusive, worldwide, royalty-free licence to use that content solely to provide the Service.
9. Limitation of Liability
To the maximum extent permitted by applicable law, MyroPay and its officers, directors, employees, and agents shall not be liable for: (a) indirect, incidental, or consequential damages; (b) loss of profits, revenue, or data; (c) service interruptions beyond our control; or (d) errors in third-party payment processing systems.
Our aggregate liability to you for any claim arising from use of the Service shall not exceed the fees you paid to MyroPay in the 12 months preceding the claim, or $100, whichever is greater.
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded by law.
10. Indemnification
You agree to indemnify and hold harmless MyroPay and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms, your use of the Service, or your violation of any third party's rights.
11. Termination
You may close your account at any time via Settings → Security → Close account, subject to withdrawing any remaining balance. We may suspend or terminate your account immediately if: (a) you breach these Terms; (b) we are required to by law; (c) your account is used for prohibited activities; or (d) your account shows signs of fraud or compromise.
Upon termination, your right to use the Service ceases. Sections 7, 8, 9, 10, and 12 survive termination.
12. Disputes & Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. For EU/UK users, mandatory consumer protection laws of your country of residence also apply.
We encourage you to contact us first to resolve disputes informally. If unresolved, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act (Nigeria), with proceedings in Lagos. EU/UK consumers retain the right to pursue claims before their local courts or the relevant alternative dispute resolution body.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email and in-app notice at least 30 days before changes take effect. Continued use of the Service after the effective date constitutes acceptance.
