Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the Myropay website and mobile application (the "Service") operated by Myropay Inc. ("us", "we", or "our").

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service. This Agreement applies to all visitors, users, and others who wish to access or use the Service.

2. User Accounts

When you create an account with us, you guarantee that you are above the age of 18 and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password.

3. Fees and Payments

Certain services may be subject to payments now or in the future. You agree to pay all applicable fees for the services you use. All fees are in Nigerian Naira (NGN) unless otherwise stated. For a detailed breakdown of our fees, please see our Pricing Page.

4. User Conduct and Prohibited Activities

You agree not to use the Service for any purpose that is illegal or prohibited by these Terms. Prohibited activities include, but are not limited to:

• Engaging in any fraudulent activity, including money laundering or funding of terrorism.
• Infringing upon or violating our intellectual property rights or the intellectual property rights of others.
• Submitting false or misleading information.
• Attempting to interfere with the proper working of the Service.

5. Business Accounts

If you create a business account, you represent and warrant that you are an authorized representative of the entity with the authority to bind the entity to these Terms. You are responsible for all activity on the account, including actions taken by team members you invite.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Myropay Inc. and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Myropay Inc.

7. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

8. Limitation of Liability

In no event shall Myropay Inc., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

9. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the Arbitration and Conciliation Act of Nigeria. The arbitration shall take place in Lagos, Nigeria.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

11. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
